   4. You agree that you will pay for all services (per prices agreed by direct written agreement and/or correspondence) accrued by or in connection with your account/Access ID. You agree that all uses of your account are authorized by and are the responsibility of yourself, even if you are unaware of any particular use.
   5. You are responsible for the timely payment of all fees and for providing us with a valid payment method for payment of all fees. We may charge your payment method for any services used and for any additional amounts (including any taxes and late fees, as applicable) that may be accrued by or in connection with your account.
   6. You may only use our site if you have been given direct authority to access the same by our authorised representative, or are invited to participate in a single use of our site by an individual/organisation which has been so authorised.
   7. Unauthorised users agree to be charged for the use of our site at the rate of £100 per use or 200% of a rate charged to an authorised user, whichever is the higher. Such charges are payable within 14 days of notice from our authorised representative.

8. INTELLECTUAL PROPERTY RIGHTS

   1. We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

10. SETTLEMENTS

    1. You agree that using this site may create a binding settlement agreement between you and the party with whom you exchange binding settlement offers on our site (“the other party”).
    2. You agree that any such settlement will be in full and final settlement of any and all claims relating to the subject matter of the dispute between you and the party with whom you exchange settlement offers howsoever, whatsoever and whensoever arising.
    3. By using our site you warrant that you have knowledge of the relevant issues and have authority to enter into binding settlement agreements, within any range that can reasonably be anticipated.
    4. You agree to be bound by any settlement agreement achieved through the use of our site. You agree that parties with whom you reach settlements on our sites may enforce such agreements against you.

    5. THE PROCESS

       1. The online negotiation is active for up to 21 days or 3 rounds whichever is sooner. Each party makes 1 binding offer in each round. Neither party sees the other’s offers.
       2. The site compares the offers made in the same round. There are three potential outcomes:
          (a) Match Settlement – If any round the offers are the same then the case settles for that amount.
          (b) Overlap Settlement – If in any round the offers overlap then the case settles in the middle and you and the other party each beats the other’s offer.
          (c) No Settlement – If no agreement can be reached then the case will continue as before.
       3. If either a Match or Overlap result is achieved then you and the other party are contractually bound to settle for that amount. You and the other party must then contact each other directly to process your remaining settlement terms (e.g. the timeline for payment).
          Example:
          Claimant offers to accept £9,000 in round 1, £8,000 in round 2, and £7,000 in round 3.
          Defendant offers to pay £6,000 in round 1, £7,000 in round 2, and £8,000 in round 3.
          No settlement in rounds 1 and 2 because there is no match or overlap.
          In round 3 there is a binding Overlap Settlement for £7,500 because the Claimant will accept £7,000 and the Defendant will pay £8,000. The overlap of £1,000 is split in the middle.

11. NO CONTRACTUAL INVOLVEMENT OR COURT POWERS

    1. We are not a party to any settlement agreement achieved through use of our site. If you achieve a settlement using our site then you are responsible for taking any necessary steps to notify relevant parties and the Court (if relevant). Pursuant to clause 12 (LIMITATION OF OUR LIABILITY), we shall have no liability for the outcome or any resulting implications of any such settlements.
    2. We have no power or obligation to enforce settlement agreements achieved through use of our site.

12. LIMITATION OF OUR LIABILITY

    1. Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
    2. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our site or any content on it, whether express or implied.
    3. We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
       1. use of, or inability to use, our site; or
       2. The outcome or any implications or consequences, whether legal or financial and whether arising directly or indirectly from any settlement reached through the use of our site; or
       3. use of or reliance on any content displayed on our site.
    4. Please note that, in particular, we will not be liable for:

       2. business interruption;
       3. loss of anticipated savings;
       4. loss of business opportunity, goodwill or reputation; or
       5. any indirect or consequential loss or damage.

We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it.

    8. This clause 12 shall survive termination of these terms.

13. UPLOADING CONTENT TO OUR SITE

    1. Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy.

You and we agree that neither of us shall have remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. You and we agree that neither of us shall have a claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in our site.
